These Terms of Service govern your use of the Waybook website, Services and Applications primarily accessed via https://www.waybook.com/ but also including and not limited to web applications, mobile applications, browser extensions and Waybook third party applications including but not limited to Waybook's Slack and Microsoft Teams applications as well as any related services and properties provided by Waybook Ltd.

The Services are provided by Waybook Limited, a company registered in England and Wales under company number 12185759 ("Waybook", "we", "us"). You can contact us about these Terms of Service at admin@waybook.com.

By accessing Waybook websites, services and applications, you agree to abide by these Terms of Service and to comply with all applicable laws and regulations. If you do not agree with these Terms of Service, you are prohibited from using or accessing this website or using any other services or applications provided by Waybook Ltd.

We, Waybook Ltd, reserve the right to review and amend any of these Terms of Service at our sole discretion. Upon doing so, we will update this page. Any changes to these Terms of Service will take effect immediately from the date of publication.

Limitations of Use

By using these websites, applications and services, you warrant on behalf of yourself, your users, and other parties you represent that you will not:

  • modify, copy, prepare derivative works of, decompile, or reverse engineer any materials and software contained on this website;
  • remove any copyright or other proprietary notations from any materials and software on this website;
  • transfer the materials to another person or "mirror" the materials on any other server;
  • knowingly or negligently use this website or any of its associated services or applications in a way that abuses or disrupts our networks or any other service Waybook Ltd provides;
  • use this website, applications or its associated services to transmit or publish any harassing, indecent, obscene, fraudulent, or unlawful material;
  • use this website, applications, or its associated services in violation of any applicable laws or regulations;
  • use this website, applications or services in conjunction with sending unauthorised advertising or spam;
  • harvest, collect or gather user data without the user's consent; or
  • use this website, applications or its associated services in such a way that may infringe the privacy, intellectual property rights, or other rights of third parties.

Intellectual Property

The intellectual property in the materials contained in this website, applications and services are owned by or licensed to Waybook Ltd and are protected by applicable copyright and trademark law. We grant our users permission to download one copy of the materials for personal, non-commercial transitory use.

This constitutes the grant of a license, not a transfer of title. This license shall automatically terminate if you violate any of these restrictions or the Terms of Service, and may be terminated by Waybook Ltd at any time.

Your Content

"Your Content" means the documents, steps, files, recordings, prompts and other material that you or your team members add to Waybook. You and your organisation retain all ownership rights in Your Content. We will never claim ownership of it.

So that we can provide the Services, you grant Waybook a non-exclusive, worldwide, royalty-free licence to host, store, copy, index, transmit, display and process Your Content, including by creating searchable indexes of it and by sending it to the subprocessors listed on our subprocessors page (such as our AI providers), solely to provide, secure, support and improve the Services for you. This licence ends when Your Content is deleted from the Services, except for copies in backups, which are deleted in the ordinary course.

You are responsible for Your Content and for having the rights and permissions needed to use it in Waybook. Where Your Content includes personal information about your team members or others, your organisation is the data controller and Waybook is its data processor. How we process that information is set out in our Privacy Policy. Administrators can see reports on how their team uses the Services, including the questions team members ask our AI features, and you are responsible for telling your team members about this.

You can export Your Content at any time using the export tools in the Services. When an account is closed or deleted, we delete Your Content within 60 days, other than copies retained in backups or as required by law.

You give us permission to use your username and other identifying information associated with your account in a manner that is consistent with your privacy preferences and our Privacy Policy.

AI Features

The Services include features powered by artificial intelligence ("AI Features"), such as Waybook Ask, the AI Assistant, the AI Document Writer, AI Actions, AI-generated tests, flowcharts, descriptions and summaries, Source Files, Smart Convert, semantic search, Waybook Shots transcription and the free AI tools on our website. Our Privacy Policy explains how AI Features process your information.

Output. AI Features generate content ("Output") from your prompts and Your Content. Output may be inaccurate, incomplete or unsuitable for your purposes. You must review Output before relying on it or publishing it to your team, and you are responsible for how you use it. Output is not legal, financial, medical, employment, safety or other professional advice; this applies in particular to documents such as contracts, policies and handbooks produced with our free AI tools.

Ownership. As between you and Waybook, you own the Output generated for you, to the extent permitted by law. Because AI generates text from patterns, similar or identical Output may be generated for other users, and we make no promise that Output is unique.

Your inputs. You must only submit prompts and content that you have the right to use. Do not use AI Features to process payment card data, health records or other special category personal data unless we have agreed to this in writing, and do not use them to generate content that is unlawful, harmful or infringes the rights of others. You must not use AI Features or Output to develop, train or benchmark a competing AI model, or attempt to extract our prompts, models or system instructions.

Training. We do not use Your Content or Output to train AI models, and our AI providers are contractually prohibited from doing so.

Limits and changes. AI Features are subject to usage limits, which we may adjust to protect the Services. Some AI Features are offered as beta or early-access features: they may change, be suspended or be withdrawn at any time, are provided without service level commitments, and may later become paid features, in which case we will tell you before your bill changes. Administrators can disable Waybook Ask and Source Files in the team settings, and can contact support about disabling other AI Features for their organisation.

Third-Party Services and AI Tools

The Services can connect to third-party services that you or your organisation choose to use, including Slack, Microsoft Teams, Zapier, file storage providers and, through our MCP server, AI tools such as Claude, ChatGPT, Gemini, Perplexity, Cursor and Microsoft 365 Copilot. When you connect such a service, it can access the Waybook content that you personally have permission to see, and only when you instruct it to. Third-party services are governed by their own terms and privacy policies, are not our subprocessors, and are outside our control. We are not responsible for what a third-party service does with Your Content, including whether it retains it or uses it for training, and we recommend using business accounts with training disabled. Keep the credentials and tokens used for these connections secure, and disconnect any service you no longer use.

Subprocessors

You authorise Waybook to use the third-party subprocessors listed on our subprocessors page to help provide the Services, including AI providers, hosting, video processing, payments, email and support providers. We keep that page up to date as the subprocessors we use change.

Liability

Our website and the materials on our website are provided on an 'as is' basis. To the extent permitted by law, Waybook Ltd makes no warranties, expressed or implied, and hereby disclaims and negates all other warranties including, without limitation, implied warranties or conditions of merchantability, fitness for a particular purpose, or non-infringement of intellectual property, or other violation of rights.

Without limiting the above, we are not liable for any loss arising from your reliance on Output from AI Features that you have not reviewed, or from the acts or omissions of third-party services that you connect to Waybook.

In no event shall Waybook Ltd, its suppliers or subprocessors be liable for any consequential loss suffered or incurred by you or any third party arising from the use or inability to use this website or the materials on this website, even if Waybook Ltd or an authorised representative has been notified, orally or in writing, of the possibility of such damage.

In the context of this agreement, "consequential loss" includes any consequential loss, indirect loss, real or anticipated loss of profit, loss of benefit, loss of revenue, loss of business, loss of goodwill, loss of opportunity, loss of savings, loss of reputation, loss of use and/or loss or corruption of data, whether under statute, contract, equity, tort (including negligence), indemnity or otherwise.

Nothing in these Terms of Service limits or excludes liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, or for any other liability that cannot be limited or excluded by law. Subject to that, Waybook's total aggregate liability to you arising out of or in connection with these Terms of Service and your use of the Services, whether in contract, tort (including negligence), breach of statutory duty or otherwise, shall not exceed the fees paid by you to Waybook in the twelve (12) months immediately preceding the event giving rise to the claim.

Because some jurisdictions do not allow limitations on implied warranties, or limitations of liability for consequential or incidental damages, these limitations may not apply to you.

Penetration Testing and Security Assessments

Without the express prior written consent of Waybook, users are strictly prohibited from conducting, causing to conduct, or authorizing any form of penetration testing, security assessment, or any other attempt to evaluate, assess, or test the security, vulnerability, or performance of this website or any of its associated services, infrastructure, or data. This includes, but is not limited to, network scanning, probing, the deployment of security tools or software, and the exploitation of security flaws and vulnerabilities.

Any unauthorized attempt to conduct such activities will be considered a violation of these Terms of Service and may result in legal action, including, but not limited to, civil or criminal prosecution. Users are reminded that unauthorized testing or probing can interfere with the operation of the website, impact other users, and potentially cause harm or unauthorized access to data. If you are a security researcher and believe you have identified a security vulnerability or issue, we encourage you to contact us directly to discuss your findings responsibly.

Accuracy of Materials

The materials appearing on our websites, applications or services are not comprehensive and are for general information purposes only. Waybook Ltd does not warrant or make any representations concerning the accuracy, likely results, or reliability of the use of the materials on this website, or otherwise relating to such materials or on any resources linked to this website.

Paid Accounts

No refunds. You may cancel your Waybook Paid Subscription at any time but you won't be issued a refund unless it's legally required.

Renewals. Subscriptions renew automatically at the end of each billing period until cancelled. Cancellations take effect at the end of the current billing period.

Downgrades. Your Paid Account will remain in effect until it's cancelled or terminated under these Terms. If you don't pay for your Paid Account on time, we reserve the right to suspend it or remove Paid Account features.

Changes. We may change the fees in effect but will give you advance notice of these changes via a message to the email address associated with your account.

Links

Waybook Ltd has not reviewed all of the sites linked to its websites, applications or services and is not responsible for the contents of any such linked site. The inclusion of any link does not imply endorsement, approval or control by Waybook Ltd of the site. Use of any such linked site is at your own risk and we strongly advise you make your own investigations with respect to the suitability of those sites.

Right to Terminate

We may suspend or terminate your right to use our websites, applications or services and terminate these Terms of Service immediately upon written notice to you for any breach of these Terms of Service.

Severance

Any term of these Terms of Service which is wholly or partially void or unenforceable is severed to the extent that it is void or unenforceable. The validity of the remainder of these Terms of Service is not affected.

Governing Law

These Terms of Service are governed by and construed in accordance with the laws of England and Wales. You irrevocably submit to the exclusive jurisdiction of the courts of England and Wales.
